Terms of Service

1. Who we are

Brainjuice Labs, LDA is a private limited company (sociedade por quotas) registered in Portugal, with offices at Campus da Penteada, 9020-105 Funchal, Madeira, Portugal. Contact: hello@brainjuicelabs.xyz.

2. Acceptance

By accessing the website or using any service we offer, you agree to these Terms. If you do not agree, do not use the site.

3. Use of the site

You agree not to:

• use the site for unlawful purposes or to harm others;
• attempt to gain unauthorized access to systems, accounts, or data;
• interfere with the operation of the site, including via scraping that places undue load;
• reverse-engineer, decompile, or otherwise extract source code from any service we provide, except where the law expressly allows it.

4. Intellectual property

All content on this site (including copy, code, designs, logos, trademarks, game assets, and project names: GameFrame, Savepoint, Hangar, and any associated marks) is owned by Brainjuice Labs, LDA or its licensors and is protected by Portuguese, EU, and international copyright and trademark law. Nothing in these Terms transfers ownership to you.

Limited license: we grant you a personal, revocable, non-exclusive license to view the site for your own use. Any other use requires prior written consent.

5. Projects and services

Specific projects (GameFrame, Savepoint, Hangar) and any games we publish may have their own terms, license agreements, or end-user agreements. Where those exist, they apply in addition to, and where conflicting, in priority over, these site Terms for that project.

6. User submissions

If you submit information through any form, contact channel, or feedback mechanism, you confirm that you have the right to share it. You grant us a non-exclusive, royalty-free license to use that submission for the purpose of responding to you and operating the relevant service. We will not publish your personal contact information without consent.

7. Third-party services

We use third-party providers for hosting (Netlify), analytics, communications, and similar functions. Your use of the site may be subject to their terms. We are not responsible for the content or practices of third-party sites we link to.

8. Disclaimer

The site is provided “as is” and “as available”. To the maximum extent permitted by Portuguese law, Brainjuice Labs, LDA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of liability

To the extent permitted by Portuguese law, Brainjuice Labs, LDA shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with use of the site. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded.

10. Indemnification

You agree to indemnify and hold harmless Brainjuice Labs, LDA, its officers, employees, and partners from claims arising out of your breach of these Terms or your unlawful use of the site.

11. Modifications

We may update these Terms from time to time. The effective date at the top reflects the latest version. Material changes will be flagged on the site. Continued use after changes means you accept them.

12. Termination

We may suspend or terminate access to the site at any time, for any reason, including breach of these Terms. Sections that by their nature survive termination (intellectual property, limitation of liability, governing law) continue to apply.

13. Governing law

These Terms are governed by the laws of the Portuguese Republic, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Jurisdiction

Any dispute arising out of or relating to these Terms or the site that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Funchal (Tribunal Judicial da Comarca da Madeira, Funchal), Portugal, with express waiver of any other forum.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings before the courts of the Member State in which you reside, where mandatory consumer protection law so provides.
